Mi-Team Courses Terms of Service

These Terms of Service (“Terms”) govern access to and use of all Mi-Team products, courses, content, software, tools, and services (collectively, the “Services”). By purchasing, accessing, or using any Mi-Team Service, you agree to be legally bound by these Terms.
If you do not agree, do not purchase, access, or use the Services.
1. Company Information and Limited Liability Structure
Mi-Team Systems LLC (“Company,” “we,” “us,” or “our”) is a Rhode Island limited liability company. All Services are provided exclusively by the Company. You acknowledge and agree that: You are contracting solely with Mi-Team Systems LLC No individual member, manager, employee, contractor, or affiliate assumes any personal liability Any claims must be brought only against the Company as a legal entity The Company is member-managed and governed by an internal Operating Agreement.
2. Acceptance of Terms
Acceptance of these Terms is a condition of access to any Service. Acceptance occurs through: Affirmative consent at checkout Account creation and login Recorded timestamps, IP address, device data, and account identifiers Continued access or use of any Service Continued use constitutes ongoing acceptance of these Terms and any future revisions.
3. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via platform notice or email. Continued use after the effective date constitutes acceptance of the revised Terms.
4. Governing Law, Arbitration, and Venue
Governing Law These Terms are governed by the laws of the State of Rhode Island, without regard to conflict-of-law principles. Mandatory Binding Arbitration Except where prohibited by law, all disputes, claims, or controversies arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration. Waiver of Jury Trial You knowingly and irrevocably waive any right to a jury trial. Class Action Waiver Disputes must be brought only on an individual basis. You waive any right to participate in class, collective, consolidated, or representative actions. Small Claims Exception Either party may pursue an individual action in small claims court where legally permitted. Venue Fallback If arbitration is deemed unenforceable, exclusive jurisdiction and venue shall be state or federal courts located in Rhode Island.
5. Limitation of Liability and Liability Cap
To the maximum extent permitted by law: The Company’s total cumulative liability for any claim shall not exceed the total amount paid by you for the applicable Service The Company shall not be liable for: Lost profits or revenue Business interruption Loss of data Indirect, incidental, consequential, special, or punitive damages This limitation applies regardless of legal theory, including contract, tort, negligence, strict liability, or otherwise. Where liability limitations are restricted by law, liability is limited to the minimum amount required.
6. Fee Shifting (Prevailing Party)
In any dispute, arbitration, or legal proceeding arising out of these Terms, the prevailing party shall be entitled to recover reasonable attorneys’ fees, arbitration costs, and related expenses. This provision survives termination.
7. Refund Policy (Strict)
No Automatic Refunds All sales are final unless expressly approved by the Company in writing. Refund Eligibility Refund requests may be considered only if: Submitted within 7 days of purchase and No access to any lesson, sub-lesson, video, prompt, download, or material has occurred Definition of Access “Access” includes, without limitation: Logging into the platform Viewing or playing any video Downloading files Copying prompts, workflows, or materials Once access occurs, all refund eligibility is permanently forfeited. No Refunds For Change of mind Dissatisfaction Lack of results Skill or experience mismatch Business, legal, or financial outcomes AI behavior, updates, or model changes Chargebacks You agree to contact support before initiating a chargeback. Unauthorized chargebacks may result in immediate termination without refund. Usage logs may be submitted to payment processors as evidence.
8. Course Progress, Gating, and Evidence
All lesson access and progress is logged and timestamped. Lesson completion occurs upon access Course completion occurs upon access to any defined lesson set Progress data may be used as evidence in disputes, chargebacks, or arbitration The Company may gate, modify, or restrict sub-lesson access at its discretion.
9. Data Collection and Usage
We collect and retain data for: Account access Course progress tracking Fraud prevention Dispute and chargeback defense Platform analytics Collected data may include: Email address IP address Login timestamps Lesson access logs Device and browser metadata We may use your email address to send service-related communications, including account notices, course updates, and information about related Mi-Team courses, products, or offerings. You may opt out of non-essential marketing communications at any time. Transactional and account-related messages will continue as required to provide the Services. This data may be retained and used as legal evidence. Payment processing is handled by Stripe. We do not store card data.
10. Platform and Technical Disclaimers
Services are provided “as is” and “as available.” We are not responsible for: Platform downtime Browser or device compatibility Internet connectivity issues Third-party service failures AI model availability, updates, or removals No guarantee of uptime, availability, or uninterrupted access is made.
11. AI-Specific Disclaimers
All AI-related content and outputs: Are for educational purposes only Do not constitute legal, financial, medical, or professional advice You are solely responsible for: Verifying accuracy Legal compliance Business decisions Implementation outcomes AI outputs may be inaccurate, incomplete, or outdated. The Company assumes no liability for outcomes, decisions, or results arising from the use of the Services, including but not limited to AI-generated outputs, course frameworks, examples, templates, prompts, or instructional content, whether such outcomes are based on AI assistance, user judgment, or a combination of both.
12. Educational Use Only
All content is informational and illustrative. No guarantees are made regarding income, performance, business success, or results of any kind.
13. Intellectual Property
All content is owned exclusively by the Company. You receive a limited, non-exclusive, non-transferable, revocable license for personal use only. You may not: Share or distribute content Resell or sublicense Reproduce or repost Use materials to train AI systems Violations may result in immediate termination without refund and legal remedies.
14. License Structure: One User, One License
Each purchase grants access to one individual user. Account sharing or transfer is prohibited unless expressly authorized. Unauthorized use may result in termination and additional licensing fees.
15. Multi-User and Bulk Licensing

16. Marketing and Claims Disclaimer
No income, performance, or outcome guarantees are made. Testimonials reflect individual experiences and do not guarantee results. Pricing, features, and future modules may change or be discontinued.
17. California Resident Rights
California residents may request access to or deletion of personal data. We do not sell personal data. Requests may be submitted to support.
18. Survival
The following provisions survive termination: Arbitration and dispute resolution Limitation of liability Fee shifting Intellectual property protections Data retention for dispute defense Final Notice These Terms are designed to establish clear boundaries, allocate risk appropriately, and prevent misuse or abuse of the Services. Use of Mi-Team Services constitutes full and binding agreement.
